By accessing or using Gateman ("Service"), provided by Gateman AI Inc. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Gateman provides an AI governance platform consisting of:

• A browser extension that detects potentially sensitive content before it is sent to AI tools
• A web dashboard for administrators to configure policies and view analytics
• Backend services for policy management, event logging, and user administration

The Service is designed to help organizations manage and monitor the use of third-party AI tools by their employees.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service

6. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Gateman AI Inc. and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain ownership of any content you submit through the Service. By using the Service, you grant us a license to process your data as necessary to provide the Service.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

For enterprise customers, we offer Data Processing Agreements (DPAs) that comply with GDPR, CCPA, and other applicable data protection regulations.

8. Service Availability and Support

8.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or uninterrupted. The detection capabilities of the Service are provided as a tool to assist organizations and should not be relied upon as the sole means of preventing data leakage.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATEMAN AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Gateman AI Inc. and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property infringement.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Gateman AI Inc. regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• Waiver: Failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
